TimeBrain Terms of Service and Licensing Agreement

By using our software, you agree to the following terms and conditions. Please read them carefully.

TimeBrain – Terms of Service and Licensing Agreement
  
Effective Date: This Agreement is effective as of the date you download, install, access, or use any part of the TimeBrain software, whichever is earlier.
  
This Terms of Service and Licensing Agreement ("Agreement") governs the use of the TimeBrain software platform ("TimeBrain"), developed and maintained by Noah Cristino, an individual, doing business as TimeBrain ("Provider," "I," "me," or "my"). By downloading, installing, or using any part of TimeBrain, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions.
    
1. Overview of the TimeBrain Platform
  
The TimeBrain platform is composed of two distinct parts:
  
- TimeBrain Collectors: A set of open-source background data collection tools.
- TimeBrain Platform: The proprietary software that includes the user dashboard, AI summarization, and all associated services, interfaces, and cloud integrations.
  
Each component is subject to a separate license as defined below. The terms "TimeBrain," "TimeBrain software," and "the platform" refer collectively to both components.
    

2. Open-Source Collectors – MIT License
  
The TimeBrain Collectors (all code and files within the "NoahCristino/timebrain" repository on GitHub) are distributed under the MIT License.
  
Under the MIT License, you have permission to:
  
- Use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the TimeBrain Collectors.
- Incorporate the Collectors into your own systems, subject to the terms of the MIT License.

This license applies only to the TimeBrain Collectors. It does not apply to any other part of the TimeBrain software or services.


3. Proprietary Platform Components

All other components of TimeBrain, including but not limited to the dashboard interface, backend services, AI-powered features, hosted infrastructure, and all associated intellectual property, are proprietary software owned exclusively by Noah Cristino. All rights not expressly granted to you are reserved by me.

You are granted a limited, non-exclusive, non-transferable license to use these components solely for personal or authorized commercial use, subject to your compliance with this Agreement and, if applicable, your paid subscription to a commercial plan.

You may not:

- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any proprietary portion of TimeBrain.
- Modify, adapt, or create derivative works of the proprietary software.
- Redistribute, sublicense, or make the proprietary software available to any third party.
- Use the software to build or support any competing products or services.
- Use the TimeBrain name, logo, or other trademarks without my express written permission.

For commercial or enterprise use, a valid and paid subscription is required. The terms for these commercial plans are detailed on the TimeBrain website and in separate agreements where applicable.


4. Data Privacy and Security

I designed TimeBrain with privacy in mind. By default:

- Data collected by the TimeBrain Collectors is stored locally on your device.
- AI features are only activated if you explicitly opt in by supplying your own API key in the settings.
- I do not collect, transmit, or store personal data unless you voluntarily choose to share it with me.

5. Termination

This Agreement is effective until terminated. I reserve the right to revoke your access to the proprietary software at any time for any violation of these terms. Upon termination, you must immediately destroy any copies or derivatives of the proprietary components in your possession.

The open-source TimeBrain Collectors remain governed by the MIT License, regardless of the termination of this Agreement.


6. Disclaimers and Limitation of Liability

THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, I DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. I SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF TimeBrain.


7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the state or federal courts located in Bristol County, Massachusetts, and both parties hereby consent to the personal jurisdiction and venue therein.


8. Updates to this Agreement

I reserve the right to modify this Agreement at any time. I will notify you of any material changes by updating the "Effective Date" at the top of this document or through an in-app notification. Your continued use of the TimeBrain software after any such changes constitutes your acceptance of the new terms.
